Acceptance of the Agreement
These Terms of Service form a legally binding agreement between you and LexLupi LLC. They apply every time you visit our website, create an account, access any course content, interact with our AI mentor, use our member area, or receive a physical Gold Five mycelium kit from us.
By accessing or using any LexLupi service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use the website or any service that we provide.
You also agree that each time you use our services after we update these Terms, the new version of the Terms will apply to you. It is your responsibility to review this page from time to time to stay informed about changes.

This Agreement governs your relationship with LexLupi LLC only. We may work with third party service providers, such as payment processors, fulfillment warehouses, AI providers, analytics platforms, and email infrastructure, but they do not change the fact that your contract is with LexLupi LLC.
Eligibility and User Responsibility
Our services are directed to adults who can legally enter into binding contracts.
By using our services, you represent and warrant that:
- You are at least 18 years old, or the age of legal majority in your country if higher.
- You are not prohibited by any applicable law from using the type of educational or cultivation content we provide.
- You will use our services only for lawful purposes and in compliance with all regulations that apply in your country, state, or region.
- You will not access our services on behalf of another person or entity without proper authority.
If we have reason to believe that you do not meet these eligibility criteria, we may suspend or terminate your account without prior notice.
Educational Program, AI Mentor and Gold Five Kit
LexLupi provides a combined digital and physical educational experience. The core purchased product is the educational program. The physical mycelium kit and accessories are provided as a complimentary training tool.
Our services include:
1. A structured master course:
A biotechnology and mushroom cultivation program with more than 550 lessons, modules, procedures, recipes, traditional methods, academic references, cultivation models, contamination troubleshooting, extraction techniques and workflow documentation.
2. AI assisted learning tools:
An AI mentor and related AI features that can analyze text and images you upload, explain steps, suggest corrections, provide guidance, and support your learning. All AI output is generated algorithmically and is not a replacement for professional lab training or human expertise.
3. Gold Five mycelium set as a complimentary gift:
A high quality educational kit that complements the course and may include, for example:
- Five syringes with laboratory grade mycelium cultures
- Micropore filters
- Gloves and surgical mask
- Silicone self healing injection ports
- Sterile gauze in alcohol
- Special jar lids and other hardware for training
This physical kit is provided as a free educational bonus to support practical learning. The user pays for the course and the associated shipping and handling costs, not for the biological materials as a commercial product.
4. Online account access:
A protected user area where you can log in, access lessons, track progress, use the AI mentor, and manage your profile.
You understand and agree that LexLupi is an educational and training platform, not a medical, pharmaceutical or clinical service.
License Term and Renewal
When you purchase the LexLupi master course, you receive a time limited right to access digital course content and related AI tools.
1. Initial access period:
You receive full access for nine (9) months from the date your course activation is completed. Activation typically begins when you scan the QR code in your package or when we mark your account as active.
2.Renewal after expiry:
After the initial nine month access period, your access will expire unless you renew. You may purchase an additional twelve (12) months of access for a renewal fee of 200 USD per year. Renewal pricing may be updated in the future, but any new price will apply only to new renewals.
What happens on expiry:
When your access expires, you may lose:
- Ability to log into the course portal
- Ability to view lessons, videos and documents
- Ability to use the AI mentor
- Ability to receive future course updates
We are not required to retain your content, notes, or AI conversations after expiry, and you are responsible for saving any notes or data you may wish to keep before the end of your access period.
4. No automatic renewal unless clearly stated:
Unless explicitly stated at the time of purchase, renewals are not automatic. You must actively purchase a renewal if you wish to continue.
Pricing, Taxes and Billing Conditions
All fees are displayed in United States Dollars (USD) unless stated otherwise. When you pay for the course, you agree to the price shown at checkout plus any applicable taxes, fees and shipping.
1. Payment processors:
We work with third party payment processors such as Stripe and potentially others. By submitting your card or payment details, you also accept their terms and conditions and privacy practices. LexLupi does not store your full card number.
2. Authorization:
By providing payment information, you authorize LexLupi and its processors to charge the full amount for:
- Course access
- Shipping costs
- Any optional upgrades you select
- Renewal fees if you choose to renew
3. Taxes and duties:
You are responsible for any value added tax, sales tax, import duties, customs fees or other charges imposed by your country or region. If a customs agency or postal service requests additional payments, it is your responsibility, not ours.
4. Price changes:
We may update prices at any time for future purchases and renewals. Changes do not affect orders already completed.
Finality of Purchases
LexLupi operates with a strict no refund policy. Because you receive immediate access to digital intellectual property and a physical kit that requires controlled storage and shipping, we treat every sale as final.
You explicitly agree that:
1. No refund for change of mind:
There are no refunds if you change your mind, decide not to use the course, or lose interest.
2. No refund for user mistakes:
There are no refunds for:
- Accidental purchases
- Mistyped email during checkout
- Failure to read these Terms
- Failure to understand what is include
3. No refund for technical difficulties:
There are no refunds for:
- Issues with your internet connection
- Problems with your own device or browser
- Inability to install recommended software
- Inability to access AI tools due to your local restrictions
We will reasonably try to help you troubleshoot, but we are not obligated to refund.
4. No refund for contamination or poor results:
Because mushroom cultivation and biotechnology procedures depend heavily on user technique, sterility, environmental conditions and adherence to instructions, we do not provide refunds if:
- Your cultures contaminate
- Your grows fail
- Your results are different from your expectations
5. No partial refunds or credits:
There are no partial refunds, time based refunds, or pro rated credits for unused time or incomplete progress.
By completing the purchase, you acknowledge and accept that all payments to LexLupi are final and non refundable.
Logistics, Risks and Responsibilities
LexLupi ships the Gold Five mycelium kit and associated accessories through third party carriers and logistics partners. We store products under controlled temperatures, typically around 2–4 degrees Celsius, before shipping to preserve quality.
1. Shipping regions and times:
We may ship to the United States, Europe and additional countries when possible. Estimated delivery times such as “2–4 business days” are only estimates and not guarantees.
2. Fulfillment process:
Once your payment is confirmed:
- Your order is queued for fulfillment
- The kit is picked, packed and prepared under controlled conditions
- The parcel is handed over to a carrier
When the carrier accepts the parcel, risk of loss transfers to you, as permitted by applicable law.
3. Delays and issues outside our control:
We are not responsible for delays caused by:
- Customs inspection
- Weather events
- Strikes
- Incorrect address
- Carrier errors
4. Incorrect or incomplete address:
You are responsible for providing a complete and accurate shipping address. If an order is returned or lost because your address was incorrect or incomplete, you may need to pay for reshipping.
5. Resolution of damaged or lost packages:
If a package is visibly damaged on arrival, you should document it and contact the carrier. In some cases we may choose, at our sole discretion, to send replacements or offer solutions. However, this is not an obligation and does not create a precedent.
No Medical, Health or Therapeutic Advice
Everything we provide, including videos, text, images, AI responses, recipes, extraction methods, dosage examples and references to traditional use, is presented strictly for educational and research purposes.
You agree that:
LexLupi does not provide medical or psychiatric advice.
LexLupi does not diagnose, treat or cure any disease or condition.
You will not treat our content as a substitute for professional medical guidance.
You will consult a qualified healthcare professional before consuming any mushroom or extract if you decide to do so on your own responsibility.
You assume full responsibility for any actions you take related to mushroom consumption, extraction, experimentation or personal health. LexLupi is not liable for adverse events, side effects, reactions, or legal consequences arising from misuse of the educational content.
Ownership and Protection of LexLupi Content
All intellectual property appearing on or within LexLupi platforms is owned or licensed by LexLupi LLC. This includes but is not limited to:
- Text lessons and manuals
- Video courses and screen recordings
- Schematics, drawings and workflows
- Photographs and renders
- Branding, logos and trademarks
- AI prompts and structured procedures
- Website design and layout
You receive only a limited personal license to view and use this content for your own education.
You are strictly prohibited from:
Copying content and redistributing it.
Uploading LexLupi videos or documents to other websites.
Reselling, sublicensing, or renting access to the course.
Translating, modifying or creating derivative works for commercial purposes without a written license.
Removing copyright notices or branding.
We reserve all rights that are not expressly granted to you under this Agreement.
Personal, Non Commercial and Time Limited Use
Subject to your full compliance with these Terms, LexLupi grants you a limited, revocable, non exclusive, non transferable license to:
- Access the course content for nine months.
- Use the AI mentor for personal learning within that period.
- Apply the knowledge for your own non commercial projects at home.
You do not acquire copyright ownership or any commercial exploitation rights. Any use outside this license is a breach of contract and of copyright law.
No Resale, Repackaging or Unauthorized Training
Unless you have a written, signed contract with LexLupi that explicitly grants you commercial rights, you are not allowed to:
Use LexLupi materials to design your own paid course.
Offer coaching or consulting based on LexLupi content as a paid service.
Rebrand our procedures or diagrams as your proprietary method.
Sell products using our branding or naming.
Present yourself as a certified LexLupi trainer, reseller, distributor or partner.
Any attempt to do so is considered a serious violation and may result in:
- Immediate termination of your access.
- Civil action for damages.
- Copyright infringement claims and DMCA takedowns.
Representation and Use of Brand
Only individuals or entities that have signed a separate written agreement with LexLupi may call themselves partners, distributors, general representatives or official affiliates beyond a basic referral program.
You are not allowed to:
- Claim that you officially represent LexLupi.
- Use our logo or name in your company branding.
- Negotiate business on behalf of LexLupi.
- Present yourself as an authorized laboratory or training center for our programs.
If you participate in an affiliate program, your rights are limited to promoting links or campaigns in accordance with the affiliate terms. This does not make you a partner or a representative.
Registration, Credentials and Account Integrity
To access the course, you may be required to create an account with a unique email and password.
You agree to:
- Provide accurate, complete and current information.
- Keep your password confidential and secure.
- Not share your login details with other people.
- Notify us immediately if you suspect unauthorized access.
You are responsible for all activity that occurs under your account, including actions taken by anyone who gains access because you did not protect your credentials.
What you may and may not do
When using LexLupi services, you must behave in a lawful, respectful and safe manner.
You agree not to:
Use the platform for illegal purposes, including cultivation of species that are illegal in your jurisdiction.
Attempt to hack, scan, probe or disrupt our servers or networks.
Bypass security measures or access data not intended for you.
Harass, threaten, abuse or insult staff or other users.
Upload content that is harmful, defamatory, hateful, obscene or illegal.
Use our AI tools to generate harmful instructions or to bypass safety mechanisms.
Attempt to reverse engineer, decompile, or copy the underlying software.
We may monitor usage and log activity as needed to maintain security and integrity. Violations of this acceptable use policy can result in suspension or termination of your account, along with possible legal action.
Images, Files and Your Responsibility
As part of the learning process, you may upload photographs or other content, for example pictures of jars, plates, cultures or setups, in order to receive AI guidance or educational feedback.
When you upload content, you agree that:
You own the rights to the content or have permission to use it.
The content does not violate any laws or third party rights.
The content does not contain personal medical data, highly sensitive information, or images that identify other people without their consent.
You are fully responsible for what you upload and any consequences associated with it.
By uploading content, you grant LexLupi a non exclusive, royalty free, worldwide license to store, process, analyze and temporarily use that content for:
- Providing AI feedback and educational responses to you.
- Improving internal tools and AI models in anonymized form.
- Ensuring security and abuse prevention.
LexLupi may remove, block or delete user generated content at any time if it appears to be inappropriate, unsafe, illegal, or in breach of these Terms.
Nature, Risks and Use of the AI Mentor
LexLupi uses AI technology supplied by providers such as OpenAI and similar systems to generate educational explanations, analyze images and support your learning. You understand and agree that:
AI systems produce probabilistic output, which can sometimes be wrong, incomplete or misleading.
AI responses should always be checked against course materials and safety instructions.
AI output is not lab certification, professional consultation or guaranteed accurate diagnosis of contamination or success.
You will not treat AI content as medical, legal or professional advice.
You are solely responsible for how you act on AI responses. LexLupi is not liable for any damage, loss, injury or legal issue arising from reliance on AI content.
External Providers and Their Terms
LexLupi relies on several third party providers such as:
- Stripe or another payment processor for payments.
- Fulfillment centers and carriers for shipping.
- Analytics tools like Google Analytics, Meta and TikTok pixels.
- AI providers for generating responses.
- Email infrastructure for transactional and support communication.
You understand that:
Each provider has its own terms and privacy practices.
By using our platform, you also accept that your data may be shared with such providers when necessary to deliver the service.
LexLupi is not responsible for independent actions taken by these providers, although we choose them carefully and require reasonable standards of security and compliance.
Service Provided “As Is” and “As Available”
To the maximum extent permitted by law, LexLupi provides all services, content, tools and kits on an “as is” and “as available” basis, without any express or implied warranties.
This includes, but is not limited to, disclaimers of:
- Warranties of merchantability.
- Fitness for a particular purpose.
- Non infringement.
- Accuracy, reliability or completeness of content.
- Availability or uptime of the platform.
We do not guarantee that:
- You will achieve any particular cultivation result.
- You will avoid contamination.
- You will gain health benefits.
- The service will be uninterrupted, error free or secure at all times.
You understand that biotechnology and mushroom cultivation involve inherent variability and risk that cannot be fully controlled.
Maximum Extent of Our Legal Responsibility
To the fullest extent allowed by applicable law, LexLupi, its owners, employees, contractors, partners and affiliates will not be liable for:
- Any indirect, incidental, consequential, special or punitive damages.
- Any loss of profits, revenue, data, business or goodwill.
- Any injury or harm resulting from misuse of content, failure to follow instructions, or unauthorized use of materials.
- Any issues arising from third party services, carriers, or technical infrastructure outside our direct control.
In all cases where liability cannot be completely excluded, the total cumulative liability of LexLupi to you for all claims, damages and losses will be limited to the total amount you paid to LexLupi in the twelve months preceding the event that gave rise to the claim.
Some jurisdictions do not allow limitations of liability to this extent. In such jurisdictions, our liability is limited to the maximum amount permitted by law.
When You Agree to Protect LexLupi
You agree to indemnify, defend and hold harmless LexLupi LLC and its owners, officers, employees, contractors and affiliates from and against any claims, damages, obligations, losses, liabilities, costs or expenses, including legal fees, arising out of:
- Your use of the services.
- Your violation of these Terms.
- Your violation of any law or regulation.
- Your violation of any third party rights, including intellectual property or privacy.
- Any content you upload, submit, or share through the services.
- Any commercial or public representation you make that falsely associates you with LexLupi.
This obligation continues even after your account is closed or your access ends.
Ending or Restricting Access
LexLupi may, at its sole discretion and without prior notice, suspend or terminate your account and access to the services if:
- You breach any provision of these Terms.
- We suspect fraudulent, abusive or illegal activity.
- You misuse intellectual property, branding or materials.
- You threaten or harass staff or other users.
- You compromise the security or stability of the platform.
Upon termination:
- Your license to use the content ends immediately.
- You may lose access to all materials.
- No refunds or credits will be provided.
You may also request closure of your account at any time. Closing your account does not change your obligation to pay any outstanding amounts or remove limitations of liability and indemnity clauses that survive termination.
Which Law Applies and Where Disputes Go
This Agreement is governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict of law principles.
You agree that any dispute, claim or controversy arising out of or relating to these Terms, the Privacy Policy, or the use of LexLupi services will be resolved:
- First, through good faith negotiation between you and LexLupi.
- If negotiation fails, through legal proceedings exclusively in the courts located in the State of Delaware, with primary venue in the Delaware Court of Chancery whenever appropriate.
You waive any objection to this venue and jurisdiction, including claims of inconvenient forum.
Updates, Modifications and Continued Use
LexLupi may modify these Terms at any time in order to reflect changes in law, technology, services or business practice.
When we update the Terms:
- The “Last Updated” date at the top of this page will change.
- The new version takes effect as soon as it is published.
By continuing to use the services after the new version is posted, you accept and agree to the updated Terms. If you do not agree, you must stop using the platform and may request account closure.
If Part Fails, The Rest Survives
If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy and any additional agreements you sign with LexLupi (for example, partner or affiliate contracts), constitute the entire agreement between you and LexLupi regarding the services and supersede all prior oral and written understandings.
